RestoGenius is operated by RestoGenius Pty Ltd (ACN 678 652 554). By accessing or using the Website or Services, you agree to comply with and be legally bound by these Terms and Conditions (the 'Terms'). If you do not agree, you must immediately stop using the Website and Services.

RestoGenius reserves the right to amend these Terms at any time. Any changes take effect immediately upon publication on the Website.

2. Acceptance of the Terms

• placing or processing orders through the Platform,

you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any additional policies referenced on the Platform.

3. Nature of the Services
RestoGenius is a technology platform provider. RestoGenius does not operate restaurants, prepare food, inspect meals, handle allergens, or deliver orders. All food, beverages, pricing, preparation, packaging, allergens, and fulfilment are the sole responsibility of the restaurant or merchant using the Services (the 'Merchant'). Orders placed via the Platform form a contract directly between the customer and the Merchant.

4. Eligibility and Minors
The Services are intended for individuals and businesses legally capable of entering binding agreements. Minors may only use the Services with the consent of a parent or legal guardian, who accepts full responsibility for all activity conducted by the minor.

5. Accounts and Registration

To access certain features, users may be required to register an account. You agree to:

• provide accurate, complete, and current information;
• keep login credentials confidential; and
• accept responsibility for all activity conducted under your account.

RestoGenius may suspend or terminate accounts used in breach of these Terms.

6. Subscription and Fees

Certain Services require payment of a subscription fee. By purchasing a subscription, you agree that:

• the selected plan meets your business needs;
• fees are payable in advance; and
• pricing may change after the current subscription period ends.

Refunds are provided only where required under Australian Consumer Law or where RestoGenius determines it is reasonable to do so.

7. Orders Placed Through the Platform
Orders placed through RestoGenius are submitted directly to the Merchant.

Automatic Order Acceptance

All online and QR code orders are automatically accepted and immediately transmitted to the Merchant’s system for preparation. Once an order is submitted:

• it cannot be cancelled; and
• it cannot be modified.

Customers must carefully review all order details before completing payment.

8. Pricing and Payments

• Prices are determined by Merchants, not RestoGenius.
• All charges are displayed prior to checkout.
• Payments are processed through third-party payment providers.

RestoGenius does not store credit or debit card details and is not responsible for banking delays or payment provider failures.

9. Refunds and Cancellations
Refunds are limited and may be considered only where:

• the Merchant is unable to fulfil the order; or
• a technical or payment error occurs (including duplicate charges). Refunds will not be provided for:
• change of mind;
• incorrect customer selections;
• delays during peak periods; or
• failure to collect or receive an order.

Food quality or preparation issues must be resolved directly with the Merchant.

10. Delivery and Pick-Up
Delivery and pick-up services are provided by Merchants or third-party delivery providers. Delivery times are estimates only. RestoGenius is not responsible for delays, missed deliveries, or deterioration of food quality due to late collection or no-shows.

11. Allergens and Special Instructions
Merchants may provide ingredient or allergen information; however, RestoGenius does not verify this information. Customers with allergies or special dietary requirements must contact the Merchant directly. RestoGenius is not liable for allergen-related issues.

12. Acceptable Use
You must not:

• misuse or interfere with the Platform;
• scrape or reverse engineer software or data;
• impersonate others;
• upload malicious code; or
• abuse promotions or create multiple accounts.

RestoGenius may suspend or terminate access without notice for violations.

13. Intellectual Property
All software, trademarks, logos, designs, and content are owned by or licensed to RestoGenius. No rights are granted except as expressly stated in these Terms.

14. Privacy
Personal information is handled in accordance with the RestoGenius Privacy Policy and applicable Australian privacy laws.

15. Limitation of Liability
To the maximum extent permitted by law:

• RestoGenius is not liable for food quality, preparation, delivery, or Merchant conduct; and
• total liability is limited to the fees paid for the relevant Service during the applicable subscription period.

16. Severance
If any part of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in effect.

17. Indemnity
You agree to indemnify and hold harmless RestoGenius from any claims, losses, or damages arising from:

• your misuse of the Services;
• your breach of these Terms; or
• disputes between you and a Merchant.

18. Termination
RestoGenius may suspend or terminate access to the Services:

• for breach of these Terms;
• for fraudulent or abusive activity; or
• where continuation of the Services becomes commercially unviable.

19. Governing Law and Jurisdiction
These Terms are governed by the laws of Queensland, Australia. The courts of Queensland have exclusive jurisdiction.
